TERMS OF SERVICE AGREEMENT
When you start using our service, you agree to the following terms and conditions
1. CUSTOMER ACCEPTANCE OF TERMS OF SERVICE
Thank you for selecting WDT as your service provider. This Agreement is between WDT, a Texas company and the person selecting WDT Service (“You”, “Subscriber” or “Customer”) for your use of the WDT Service (“Service”) or (“Agreement”). The term “User” means You or any other person using the Service under your WDT account and You are responsible for your and all other Users’ use of the Service. Please read these terms and conditions so that you are familiar with them.
BY ENROLLING IN, USING, OR PAYING FOR THE WDT SERVICE, YOU AGREE TO THE PRICES, CHARGES, TERMS AND CONDITIONS IN THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE PRICES, CHARGES, TERMS AND CONDITIONS, DO NOT USE THE SERVICE, AND CANCEL THE SERVICE IMMEDIATELY BY following the procedures for cancelling your account; or by calling WDT AT THE TOLL FREE NUMBER 1-888-606-0938.
The General Terms of your agreement are spelled out in this section and additional terms for DSL, VoIP Voice service, and Legal Terms are provided in the sections that follow the general terms.
You are buying a bundled service that includes DSL and VoIP voice. You are receiving a bundled price for this service. If you elect to unbundle the service and receive only DSL, you will be billed at a rate of $40 per month. WDT bills you monthly in advance by credit card for the service. Additional charges may apply if you make calls outside of the plan, such as certain international dialing destinations or if you use pay services such as directory assistance.
Installation of DSL will require you to be at home to make your premises available to the telephone company to install a DSL line or to make arrangements to provide access for the telephone company to gain entrance to the telephone room in your building. After this is complete, a separate DSL technician will come to your residence to install the DSL kit which will be mailed to your residence. This includes the DSL modem and cables. Once the DSL technician has installed your DSL modem, you are required to self-install your voice adapter. Your self-installation opens internet access to your computer and voice connection to your adapter that will allow you to connect a telephone and make voice calls immediately. If you prefer to have a professional installation of your voice adapter at your home, you may elect to schedule professional installation for $50.
It is important that you be home to receive the technician or you may be charged a missed appointment fee of $50. Once the service is installed which is defined as having an installed DSL modem in your home, you are responsible for the term of the contract of service and applicable fees and taxes. There is a cancellation charge for cancelling service after service is activated (see below).
It is important to know that VoIP calling is different from traditional PSTN and this service provides E911 service that differs from 911 service as described in the section on Voice Terms of service.
The Agreement governs the Service and any devices, such as the equipment ("Device" or "Equipment" or "CPE"), used in conjunction with the Service. By activating the Service, you acknowledge that you have read and understand, and you agree to, the terms and conditions of the Agreement, and you represent that you are of legal age to enter the Agreement and become bound by its terms.
WDT may change the Terms and Conditions of the Agreement at any time. Notices will be considered given and effective on the date posted at www.wdtdigital.com. The Agreement posted supersedes all previously agreed to electronic and written Terms and Conditions.
Rates and charges for WDT service are effective as of June 1, 2009 and are subject to change without notice. For your most current rates and charges, the most current version of the Agreement or if you have questions about your services, please visit our website at www.wdtdigital.com
"WDT," "we," "our," and "us" means WDT or the WDT affiliate authorized to provide you with these WDT Services.
"Service" or "Services" means WDT Digital Service and/or WDT DSL Service. WDT DSL provides you with high-speed Internet access and WDT Digital Provides you with high speed DSL service and VoIP calling service. WDT provides either a single dynamic or a single fixed IP address. Downstream speeds are greater than upstream speeds. If customer installs residential service for a non-residential location, WDT reserves the right to cancel the service and/or disconnect the Service and charge you all applicable disconnection fees.
"Software" means any Software — WDT or third-party owned — that relates to your use of the Service, that enables the Service to function or that we make available to you in connection with the Service.
"Third Parties who contribute to the Service” means WDT's officers, directors, employees, agents, licensors, suppliers, distributors, and any third-party distributors of the Service, Equipment or Software or third-party information providers to the Service (including any third party sponsoring a Web Site that WDT, by agreement, establishes as a default home page for a customer or otherwise provides a hyperlink to the Service).
2. TERM
a. Term: Your service activation date is on the date that your DSL modem is installed in your residence and continues until you cancel. If you cancel service before the one-year anniversary of your service activation date, you must pay the lesser of the monthly fee for the balance of your annual term or $250. After the one-year period, your agreement is on a month-to-month basis and you may cancel service without a cancellation fee.
b. Your Cancellation of Services: You may cancel the Services at any time (subject to cancellation terms in 2a) by calling the toll-free customer service number 1-888-606-0938, and notifying the WDT Customer Service Representative. Cancellation notice must be given at least 30 calendar days prior to the end of the calendar month or you will be charged for the following month of service. If you cancel VoIP service only and elect to keep DSL, you will be billed at $40 per month for DSL service. You are responsible for the return of the voice adapter or you will be billed as described in 2c below. Please be advised that cancellation of DSL service will disable VoIP service so it is not possible to retain voice service if you cancel DSL.
c. Return of Equipment: If you cancel your WDT Service prior to the expiration of the one year anniversary date of service, you must return the equipment unless you elected to purchase the equipment during service activation, in which case purchased equipment is your property to keep. We will charge you $99 if you do not return the equipment within 15 days of cancellation. You must return your Equipment in the original packaging and such Equipment must be in good working condition.
d. Fixed-Location Service: You acknowledge that the Service is a fixed-location service. This means that the Service may not be moved to a different residence (even if the telephone number for the Service remains the same), or to a different phone number, without your computer and new telephone line first meeting another Qualification check. If you are moving your residence, please contact us by calling the toll-free customer service number on your bill for the Service so that we can expedite the transfer of the Service to your new residence. If you transfer your Service, you may not be eligible to receive the prices and charges for the Service that you received prior to the transfer.

4. WDT'S PRIVACY POLICY
As a WDT Service customer, you give us information about yourself that we use to conduct our daily business with you. To view WDT's Online Privacy Policy go to: http://www.mywdt.com/privacy.php.
5. REQUIREMENTS REGARDING ELIGIBILITY, AND YOUR E-MAIL I.D.
Eligibility
To become a customer of WDT Service you must be at least eighteen years old. You must register using your own name. You must provide a credit card for payment which is issued in your name or which you are authorized to use. WDT collects credit information for credit check prior to account set up.

During registration, we'll ask you provide an email address so that we may communicate with you.
6. BILLING AND PAYMENT
a. Commencement of Billing: Once your modem is installed, you will commence paying for service. You are required to connect the modem to your computer for internet service and to your adapter device for voice service. This part of the install is a self-installation. You are encouraged to complete installation promptly because you will be responsible for full payment for the charges on your WDT bill even if you have not yet installed your computer to the modem or the voice adapter to the modem. If you request a professional installation to install the Equipment and Software from WDT, billing commences upon successful completion of the professional installation.
b. Agreement to Pay: You agree to pay us for all charges related to your account (including, but not limited to, any Shipping & Handling Fees, Installation Fee, No Show Fee, in accordance with this Agreement at the prices and charges provided to you when you enrolled, which may change as provided in this Agreement. WDT shall have the right to terminate or suspend your account for failure to pay your bill in a timely manner. In addition, WDT shall have the right to use alternative means to collect unpaid charges to your account in the event of non-payment.
Monthly recurring charges are prorated only in the month of activation. Partial credit is not given to customers who change their price plan to another price plan, disconnect, cancel or are suspended from the service during a billing month.
c. Professional Installation Charge: WDT will install the computer to your modem. The professional Installation charge is in the amount of $99. In the event that no one authorized to permit installation of the Equipment and Software is available at your Premises at the time you scheduled an installation appointment, and notification was not provided to WDT at least 48 hours in advance, you agree to pay a No-Show Charge in the amount of $50.
d. Shipping & Handling Fee, all taxes and other charges: Shipping and handling for equipment is $12.95. Such charges will be billed to your WDT bill and such charges are non-refundable. Customer shall be responsible for and shall pay all applicable federal, state and local taxes, fees, charges, surcharges or other similar exactions (hereinafter called “taxes”) imposed on or with respect to the Services and/or CPE that are the subject of this Agreement whether such taxes are imposed directly upon Customer or upon WDT, and include, but are not limited to, sales and use taxes, utility user’s fees, municipal occupation and license taxes, excise taxes, business and occupations taxes, 911 taxes, franchise fees and universal service fund fees or taxes.
e. Payment Methods: You authorize WDT to charge any amounts payable by you in connection with your use of the Services automatically by credit card on your Service bill (including but not limited to, as applicable, any Termination Fees, Installation Charges, and No-Show Charges). Your charges for the Services to your credit card and your right to use the Services are subject to any limits established by your credit card issuer. “One Time Use” or Disposable Credit Cards: WDT strictly prohibits the use of “one time use” or disposable credit cards. If you use such a card to activate the WDT Service and such use results in WDT not being able to collect charges for the Service, you will be subject to a $500.00 fee as liquidated damages and not as a penalty, plus any reasonable in-house or outside counsel attorney’s fees incurred by WDT to collect such unpaid charges and liquidated damages.
All new customers must provide a credit card account number which is issued in your name or which you are authorized to use when registering for the Service. All payments shall be made pursuant to the terms of the pricing and other information relating to the Service, which is available during the registration process, or on the WDT Web Site and incorporated by reference in this Agreement, including the provisions of the billing option you selected. You authorize WDT to charge any amounts payable by you in connection with your use of the Service automatically to the credit card you provided in the registration process or such credit card number you provide thereafter, subject to the terms and conditions of the agreement between you and your credit card issuer. It is your responsibility to update the credit card information that you use to pay for the Service. If you bill your use of WDT Service to your credit card, your right to use the Service is subject to any limits established by your credit card issuer. If you do not update your credit card information, WDT may suspend your use of the service. WDT may also make other billing options available. If WDT makes other billing options available, you agree to abide by terms and conditions applicable to those options.
WDT DSL and WDT Digital Service charges are due upon service activation and/or upon the commencement of the next billing cycle defined as the first day of the calendar month. Customers pay for the full month of service in advance. No refund is provided for any days not used during the last month of service if you cancel service.
h. Late Payment Charge: WDT may add interest charges to any past-due amounts at the lower of 1.5% per month or the maximum rate allowed by state law, prorated for each day payment is past due. You agree to reimburse us for reasonable attorneys' fees and any other costs associated with collecting delinquent or dishonored payments. If charges cannot be processed through your credit card, we may charge you an additional $15.00. If the state law where you receive the Service requires a different fee, we will charge you that amount.
i. Monthly Taxes and Other Charges: You must pay all taxes, fees, surcharges, and other charges that we bill you for the Services. Taxes will be in the amounts that federal, state, and local authorities require us to bill you.
j. Failure to Pay: We may suspend, restrict, or cancel the Services and this Agreement under this Agreement if you do not make payments for current or prior bills by the required due date, including payments for late fees or any other required additional charges.
k. Price Changes: We may change the prices and charges for the Services at any time. Unless otherwise stated, if we increase the price of your plan, we'll notify you by e-mail. We may decrease prices and charges without providing advance notice.
l. Credit Check: You give us permission to obtain your credit information from consumer credit-reporting agencies at any time. If we determine that you may be a credit risk for (1) unsatisfactory credit rating; (2) insufficient credit history; (3) fraudulent or abusive use of any WDT Services within the last five years; or (4) late payments for current or prior bills, we may refuse to provide the Services or we may require a deposit to establish or maintain Service(s). The deposit will be held as a partial guarantee of payment. It cannot be used by you to pay your bill or delay payment. Unless otherwise required by law, deposits will not earn interest. We may require you to increase your deposit at any time to reflect your estimated monthly charges based on actual usage or our reevaluation of your ability to pay. If you default or terminate your registration with the Service, we may, without notice to you, apply any deposit towards payment of charges due. After 90 days following such termination, any remaining deposit or other credit balance in excess of $10 will be returned without interest to you on your credit card of record.
m. Monthly recurring charges are not prorated: Partial credit is not given to customers who change their price plan to another price plan, disconnect, cancel or are suspended from the service during any month after the month of activation. Plan changes are effective on the first day of the following month.
DSL TERMS
7. EQUIPMENT
a. Required Equipment: You understand and agree that WDT DSL Service requires you to have a personal computer that you own, or otherwise have a right to use in connection with WDT DSL Service. Your computer must meet the requirements necessary to operate WDT DSL Service based on criteria that WDT specifies. You will receive from WDT certain equipment for connectivity to WDT DSL Service, including, but not limited to, a modem/router, micro filters, cables, adapters, (collectively, the "Equipment"). For any End User premises equipment (“CPE”) that Customer purchases through WDT pursuant to this Agreement, WDT may supply a new, recertified, or refurbished CPE. Recertified CPE is equipment that: (a) may have been removed from its original packaging by WDT or returned to WDT by an End User after a promotional offer, (b) is free from visible defects, and (c) is equivalent in function and appearance to new units. On new and recertified CPE purchased by Customer through WDT, WDT will provide a one (1) year replacement or repair (at WDT’s option) warranty from the Billing Start Date (as defined in the Module for the applicable Service) for manufacturer’s defects. At WDT’s discretion, any equipment WDT supplies as replacement equipment for a CPE with manufacturer’s defects may be new, recertified or refurbished. Refurbished CPE is a previously owned CPE that has been remanufactured by the manufacturer or its agent, is free from visible defects, and is equivalent in functionality to new units. Any CPE supplied as a replacement CPE will carry the remainder of the one (1) year warranty described above. WDT shall have no obligation or liability in connection with any equipment not purchased through WDT and configured by WDT, or for any abuse, reconfiguration, repair or misuse of any equipment by any party other than WDT or its agents.
b. Professional Installation: With acceptance of terms of service you have elected to have us install your Equipment and the Software for WDT DSL Service, you authorize us and our employees, agents, contractors, and representatives to enter your premises ("Premises") in order to install, maintain, inspect, repair, or remove the Equipment and/or Software. All such services will be conducted at a time mutually agreed to by you and us and you must be at home to receive our field technician. By scheduling an installation appointment, you represent to us that you have the right to and do authorize us to enter the Premises. If you do not own the Premises, at our request you will provide us with the owner's name and address, evidence that you are authorized to grant access to the Premises on the owner's behalf, or (if needed) written consent from the owner of the Premises. You authorize us to work with your local telephone company to provision the Service to the telephone number indicated on your order. You are responsible for cancellation of any previous high-speed Internet access service using the same facilities as those to be used for the WDT DSL Service.
Optional Service To Install Voice Adapter
Professional Installation: We are proving self-installation instructions for the voice adapter. If you choose to utilize professional installation of the voice adapter, we can send a technician to your premises where any of the following on-site services are performed:
• Installation of WDT provided equipment and connection to one User personal computer that meets minimum system requirements and installation of the voice adapter.
Note: Maximum of one (1.0) hours of total technician’s time on User’s premises per Optional Install. Optional Installation fee of $50 is charged.
c. File Modification/Backup Requirements: The Qualifications of your computer's operating system, as well as the installation (whether self-installed or WDT-installed), use, inspection, maintenance, repair, or removal of the Equipment and Software, may result in an inadvertent service outage or reconfiguration of the software on your computer, or temporary interruption of your telephone service. In addition, as part of the installation process, system files on your computer, such as, but not limited to, INI, BAT, SYS, and DLL files, may be modified or deleted. WDT does not represent or warrant that such modifications or deletions will not disrupt the normal operations of your computer. You acknowledge and agree that you are solely responsible for backing up all existing computer files by copying them to another storage medium prior to the installation of your Equipment and the Software, and prior to any inspection, maintenance, repair, or removal of your Equipment and the Software. WDT DOES NOT REPRESENT OR WARRANT THAT INSTALLATION BY YOU OR A THIRD PARTY CHOSEN BY YOU WILL ENABLE YOU TO SUCCESSFULLY ACCESS OR USE THE SERVICES, NOR THAT ANY SUCH INSTALLATION WILL NOT CAUSE DAMAGE OR MODIFICATIONS TO, OR LOSS OF, ANY OF YOUR SOFTWARE, HARDWARE, FILES, DATA, OR PERIPHERALS. WDT AND OUR EMPLOYEES, AGENTS, CONTRACTORS, AND REPRESENTATIVES WILL HAVE NO LIABILITY WHATSOEVER FOR ANY DAMAGES OR SERVICE PROBLEMS (INCLUDING TELEPHONE SERVICE) RESULTING FROM YOUR, OR A THIRD PARTY'S, FAILURE TO PROPERLY INSTALL, ACCESS, OR USE THE EQUIPMENT, SOFTWARE, OR SERVICES.
d. WDT Installation of Equipment: Except for our gross negligence or willful misconduct, we shall have no liability whatsoever for any damage, loss, or destruction to all or a portion of your hardware during our installation of your Equipment and the Software. In the event of such gross negligence or willful misconduct by WDT, WDT shall not pay for the repair or replacement of the damaged, lost, or destroyed portions of your hardware. EXCEPT FOR OUR WILLFUL MISCONDUCT, WDT AND OUR EMPLOYEES, AGENTS, CONTRACTORS, AND REPRESENTATIVES WILL HAVE NO LIABILITY WHATSOEVER FOR ANY DAMAGE TO, LOSS, OR DESTRUCTION OF ANY SOFTWARE, FILES, OR DATA, REGARDLESS OF THE CAUSE OF SUCH DAMAGE, LOSS, OR DESTRUCTION. In addition, the opening of your computer may void warranties provided by the computer manufacturer or other parties relating to the computer's hardware or software. You consent to the opening of the computer for the installation of your Equipment and the Software for the Service. EXCEPT FOR OUR WILFUL MISCONDUCT, WDT AND OUR EMPLOYEES, AGENTS, CONTRACTORS, AND REPRESENTATIVES WILL HAVE NO LIABILITY WHATSOEVER AS THE RESULT OF THE VOIDING OF ANY SUCH WARRANTIES.
e. System Compatibility: System devices such as a home security system, medical alert, door bell answering service that are set up to automatically dial the local police or fire departments, or other similar automatic reporting systems using telephone lines, may not be compatible with WDT DSL Service. You waive any claim against WDT for interference with or disruption of such systems due to the Services.
f. Right to Use Software: The use of WDT DSL Service requires the installation of the Software. By installing and using the Services, you agree to abide by the terms and conditions of all applicable end-user software licenses.
g. No Modification of Software: You may not modify the Software in any way, or change or delete any copyrights, trademarks, service marks, and logos on the Services. In addition, you may not reverse assemble, reverse compile, or reverse engineer the Software.
h. Speed of Service: The actual speed of the Services experienced by you may vary and depends on a number of factors, such as the location of your residence, the amount of traffic on the Internet, the ability of your computer to process data, environmental factors, and other factors beyond the control of WDT. WDT reserves the right to monitor or change your current plan speed at any time. No minimum level of speed is guaranteed.
8. ACCEPTABLE USE OF THE DSL SERVICE
a. Acceptable Use: You agree to comply with the industry standards for acceptable use. Briefly:
a. You agree to use our services (whether provided by us or others), as well as any Software provided in connection with the services, in a manner consistent with all applicable laws and regulations. Additionally, you will not take any of the following actions with respect to our services, related Software, or Content, nor will you use our services or related Software to upload, post, email, distribute, transmit, link, solicit or otherwise make available any Content or use our services in any manner that:
b. is unlawful, harmful to minors, threatening, harassing, abusive, defamatory, slanderous, vulgar, gratuitously violent, obscene, pornographic, indecent, lewd, libelous, invasive of another's privacy, or racially, ethnically or otherwise offensive, hateful or abusive;
c. infringes someone else's patent, trademark, trade secret, copyright or other intellectual property or other rights;
d. removes any proprietary notices or labels on the Content;
e. advocates or solicits violence, criminal conduct or the violation of any local, state, national or international law or the rights of any third party;
f. advocates or solicits violence, criminal conduct or the violation of any local, state, national or international law or the rights of any third party;
g. is deceptive in any way, such as an offer to sell fraudulent goods or contains an impersonation of any person or entity or misrepresents an affiliation with a person or entity;
h. specifically advertises firearms or ammunition, tobacco, alcohol, illegal drugs, or other contraband;
i. constitutes unsolicited or unauthorized advertising, junk or bulk e-mail (SPAM), chain letters, or any other unsolicited commercial or non-commercial communication;
j. interferes with others using the Sites;
k. is off-topic according to the description of the group, forum or webpage;
l. contains software viruses, worms, time bombs, corrupted files, Trojan horses or any other computer code, files, or programs that are designed or intended to disrupt, damage, overburden, impair or limit the functioning of any software, hardware, network, server or communications systems or equipment;
m. contains a charity request, petitions for signatures, chain letters or letters relating to a pyramid scheme;
n. disrupts, interferes or inhibits any other user from enjoying the Sites or other affiliated or linked websites, material, contents, products and/or services.
o. uses any robot, spider, or other such programmatic or automatic device, inducing but not limited to automated dial-in or inquiry devices, to obtain information from the Site or otherwise monitor or copy any portion of the Site, products and/or services;
p. creates a false identity for the purpose of misleading others;
q. prepares, compiles, uses, downloads or otherwise copies any user information and/or usage information for any portion thereof, or transmit, provide or otherwise distribute (whether or not for a fee) such information to any third party;
r. uses any WDT domain name as a pseudonymous return email address;
s. contains any offer for unsolicited goods or services or any advertising or promotional materials, except in those areas specifically designated for such purpose (e.g., classified bulletin board);
t. provides material support or resources (or conceals or disguises the nature, location, source, or ownership of material support or resources) to any organization(s) designated by the United States government as a foreign terrorist organization pursuant to section 219 of the Immigration and Nationality Act;
u. attempts to disable, bypass, modify, defeat or otherwise circumvent any of the digital rights management or other security related tools incorporated into the software or any Content or the Sites;
v. reproduces, duplicates, copies, sells, trades, resells or exploits for any commercial purposes, any portion of the Sites or Content, use of the Sites, or access to the Sites;
w. publishes, publicly performs or displays, or distributes to any third party any Content, including reproduction on any computer network or broadcast or publications media;
x. systematically collects and uses any Content including the use of any data mining, or similar data gathering and extraction methods;
y. makes derivative uses of the Sites or the Content;
z. uses, frames, or utilizes framing techniques to enclose any portion of the Sites (including the images found at the Sites or any text or the layout/design of any page or form contained on a page); and/or
aa. modifies, translates, decompiles, disassembles, uses reverse engineering or otherwise attempts to derive the source code for the computer systems and other technology that operate our Site. For purposes of these Terms, "reverse engineering" shall include the examination or analysis of the Site to determine the source code, structure, organization, internal design, algorithms or encryption devices of our Site's underlying technology.
bb. Unless you are required or encouraged to maintain anonymity, we encourage you to use your real name.
cc. WDT may cancel, restrict, or suspend the Services under this agreement for violating these above provisions.
b. Residential Use Only: You agree that the Services will be used exclusively for personal, residential use and not for use in a commercial, small or home business use.
c. Multiple Users: You acknowledge that you are agreeing to the terms of this Agreement on behalf of anyone who uses the Services through your computer. You have sole responsibility for ensuring that anyone who uses the Services through your computer understands and complies with the terms and conditions of this Agreement. You further acknowledge and agree that you are solely responsible and liable for any violations of the terms of this Agreement, whether by you or by any other user of the Services through your computer.
9. OUR RIGHTS AND THE RIGHTS OF OTHERS
WDT enables you to contribute to and gain from a wealth of materials - some owned by WDT, others owned by third parties. In order to preserve everyone's rights, you must:
• print and download material from the Service for your own, non-commercial purposes only;
• limit the number of copies you make of Service-related materials;
• not alter any aspect of the Service;
• comply with the terms and conditions of third parties who provide you with materials, including Software; and
• not deliberately or accidentally export the Software to countries that the U.S. prohibits export to.
Alter
You may not modify the devices in any way, or change or delete any copyrights, trademarks, service marks and logos on the Service. You may not reverse assemble, reverse compile or reverse engineer the devices or software used on the devices.
a. Only one user may be logged into the Service for any single account at any time. In the event that more than one user is logged into a Service account at any time, WDT may terminate such account.
b. You may not use your Service connection to host a dedicated Internet server site.
No Resale or Transfer
a. You may not resell or otherwise redistribute the Service or profit in any other way by providing access to others.
b. You may not allow others outside of your household to use the Service.
Content; Your Conduct And Use Of The Service
a. There is a wide variety and quantity of information available through the Internet using WDT DSL Service. While we hope you'll take full advantage of the Internet, please note that we don't have control over most of what's accessible through the Service — in other words, you're responsible for protecting yourself from harmful or inaccurate information. Therefore, by registering for and accessing the Service you understand and agree that all information, data, text, messages, postings, or other materials including links to other sites ("Content"), whether publicly posted or privately transmitted, are the sole responsibility of the person from whom such Content originated. This means that you, and not WDT, are entirely responsible for all Content that you upload, post, or otherwise transmit via the Service. WDT does not control the Content posted via the Service and does not guarantee the accuracy, integrity or quality of such Content. You understand and agree that by using the Service, you may be exposed to Content that is offensive, indecent, sexually explicit or objectionable. You understand that the technical processing and transmission of the Service, including your Content, may involve a) transmissions over various networks; and b) changes to conform and adapt to technical requirements of connecting networks or devices; and that under no circumstances will WDT be liable in any way for any Content, including, but not limited to, any errors or omissions in any Content, or any loss or damage of any kind incurred as a result of the use of any Content posted, or otherwise transmitted via the Service.
b. Monitoring and Removal of Content: WDT does not pre-screen Content, but WDT and its designees shall have the right (but not the obligation) to monitor any and all traffic routed though the Service, and in their sole discretion to refuse, block, move or remove any Content that is available via the Service. Without limiting the foregoing, we shall have the right to remove any Content that violates this Agreement or is otherwise objectionable. You agree that you must evaluate, and bear all risks associated with, the use of any Content, including any reliance on the accuracy, completeness, or usefulness of such Content. In this regard, you acknowledge that you may not rely on any Content created by us or submitted to us.
c. Investigation of Unlawful Conduct: WDT cooperates fully with federal and state enforcement officials investigating unlawful behavior on WDT DSL Service's system, and customers are required to do the same. You acknowledge and agree that WDT may preserve Content and may disclose Content if required to do so by law or in the good faith belief that such preservation or disclosure is reasonably necessary to: (1) comply with legal process; (2) enforce this Agreement; (3) respond to claims that any Content violates the rights of third-parties; or (4) protect the rights, property or personal safety of WDT, its users, and the public.
11. SUSPENSION OR CANCELLATION OF THE SERVICES.
a. Your Cancellation of the Services: You may cancel the Services at any time in accordance with this Agreement.
b. WDT Cancellation for Violation of the Agreement: We may immediately suspend, restrict, or cancel the Services and this Agreement, should you violate any of the terms of this Agreement. If the Services are suspended, restricted, or cancelled under this Section, any fees and charges will accrue through the date that WDT fully processes the suspension, restriction, or cancellation including any applicable cancellation fees and applicable voice charges.
c. Outstanding Charges: You must pay all outstanding charges for the suspended, canceled, or restricted Services, including the Early Termination Fee, as applicable, and payment of any bills that remain due after the date of suspension, restriction, or cancellation under this Section. You must reimburse us for any reasonable costs we incur, including attorneys' fees, to collect charges owed to us.
VOICE TERMS OF SERVICE
Residential Use of Service
If you have subscribed to WDT's Residential services, the Service is provided to you as a single usage (user) residential plan. Single usage means that you and or others may not use WDT for simultaneous calling or as a shared account. You may use any combination of 2 devices per account. Each device will ring simultaneously when inbound calls are received and both devices will have the same WDT account number and 10 digit telephone number. WDT devices can make up to a total of 2 outbound simultaneous calls by placing one call on hold. Subscribers to unlimited domestic and international plans are charged $9.99 per month for the use of a second device (2 device maximum). WDT residential use is for your own personal, residential, non-business and non-professional use. This means that you agree not to use, and may not use, the Service for any commercial activities, governmental activities, profit-making activities, and/or non-profit activities, including but not limited to home office, business, sales, tele-commuting, tele-marketing, auto-dialing, continuous or extensive call forwarding, call relaying, fax broadcast, fax blasting and any other activity that would be inconsistent with normal residential usage patterns by any and all residential plans including unlimited plans. This also means that you agree not to, and may not, sell, resell or transfer the Service to any other person for any purpose, or make any charge for the use of the Service, without the prior express written permission from WDT. You agree that if WDT determines in its sole discretion that you have used the Service, and/or anyone else has used the Service for any activities and purposes prohibited by this section it may immediately charge you WDT's higher rates for its Business service for all periods, including past periods, in which you use, or used, the Service for such prohibited activities together with a US$100.00 administrative fee for same, and that WDT may immediately charge such amounts on your credit card. WDT reserves the right to immediately terminate or modify the Service, if WDT determines, in its sole discretion, that Customer's Service is being used for such prohibited activities or in any other manner prohibited by this Agreement. In addition to and without prejudicing or waiving any other remedies that it is entitled to, WDT, after it has determined in its sole discretion that you have violated the residential agreement and WDT may retroactively charge you $.05 per minute for all US and Canadian calls made since the activation of your account. Violations of this agreement regarding International calls will likewise be retroactively billed at the then current highest published rates on www.mywdt.com. You agree that any payment made to WDT pursuant to this section is made as liquidated damages and not as a penalty, because it would be difficult if not impossible to ascertain damages. In the event that WDT has to take legal action to enforce the provisions of this section, the prevailing party shall be entitled to its reasonable expenses, including attorney’s fees, regardless of whether in house or outside counsel is employed. If in house counsel is employed, billing shall be at the rate of $30 per hour and billed in six minute increments. WDT reserves the right to block service for activations from IP addresses outside of the territorial United States.
Prohibited Uses of Service
You agree to use the Service only for lawful purposes. You agree not to use the Service for any unlawful purpose, including for example, using the Service in a way that (1) interferes with our ability to provide Service to you or other customers, or (2) avoids your obligation to pay for the Services. You also agree not to use the Service for transmitting or receiving any communication or material of any kind which would (1) constitute a criminal offense, give rise to a civil liability, or otherwise violate any applicable local, state, national or international law or (2) encourage conduct that would constitute a criminal offense, give rise to a civil liability, or otherwise violate any applicable local, state, national or international law. WDT reserves the right to terminate the Service immediately and without advance notice if WDT, in its sole discretion, believes that you have violated the above restrictions, leaving you responsible for the full month's charges to the end of the current term, including without limitation unbilled charges all of which immediately become due, payable and chargeable to your credit card. If WDT, in its sole discretion believes that you have violated the above restrictions, WDT may forward the objectionable material, as well as your communications with WDT and your personally identifiable information to the appropriate authorities for investigation and prosecution, and by using the Service you thereby consent to such forwarding.
Use of Service and Device by Customers Outside the United States
WDT allows use of the Service inside or outside of the United States. However, if you use it outside the United States you do so at your own risk. If you remove the Device to a country outside the United States and/or use or attempt to use it there, you do so at your own risk, including but not limited to the risk that such activity violates the laws of the country where you do so, and/or violates the export laws of the United States and/or the import laws of that other country. WDT assumes no liability for your failure to comply with the laws of the foreign country where you use the service. WDT takes no responsibility or legal liability for your failure to notify us of a change of address related to e-911.
Loss of Service Due to Power Failure or Internet Service/Broadband Outage
You acknowledge and understand that the Service does not function in the event of power failure. Should there be an interruption in the power supply, the Service will not function until power is restored. A power failure or disruption may require the Customer to reset or reconfigure the Device and other CPE equipment prior to using the Service. You also acknowledge and understand that the Service requires a fully functional broadband connection to the Internet (which is provided by WDT) and that, accordingly, in the event of an outage of, or termination of broadband service with or by your Internet service provider ("ISP") and/or broadband provider, the Service will not function. If there is an interruption in the power supply and/or an ISP/broadband outage, the Service will not function until the power supply is restored and/or the ISP/broadband outage fixed. You will continue to be billed for the Service during such failures, terminations and/or outages unless and until you or WDT terminate the Service in accordance with this Agreement.
Copyright / Trademark / Unauthorized Usage of Device, Firmware or Software
The Service and Device and any firmware or software used to provide the Service or provided to Customer in conjunction with providing the Service, or embedded in the Device, and all Services, information, documents and materials on WDT's website(s) are protected by trademark, copyright or other intellectual property laws and international treaty provisions. All websites, corporate names, service marks, trademarks, trade names, logos and domain names (collectively "marks") of WDT are and shall remain the exclusive property of WDT and nothing in this Agreement shall grant you the right or license to use such marks. You acknowledge that you are not given any license to use the firmware or software used to provide the Service or provided to Customer in conjunction with providing the Service, or embedded in the Device, other than a nontransferable, revocable license to use such firmware or software in object code form (without making any modification thereto) strictly in accordance with the terms and conditions of this Agreement, and that the Device is exclusively for use in connection with the Service. You expressly agree that the Device is exclusively for use in connection with the Service and that WDT will not provide any passwords, codes or other information or assistance that would permit or enable you to use the Device for any other purposes. If you decide to use the Service through an interface device not provided by WDT, which WDT reserves the right to prohibit in particular cases or generally, you warrant and represent that you possess all required rights, including software and/or firmware licenses, to use that interface device with the Service and you will indemnify and hold harmless WDT against any and all liability arising out of your use of such interface device with the Service. You agree not to reverse compile, disassemble or reverse engineer or otherwise attempt to derive the source code from the binary code of the firmware or software.
Tampering with the Device and Service
You agree not to change the electronic serial number or equipment identifier of the Device, or to perform a factory reset of the Device, without express permission from WDT in each instance which WDT may grant or deny in its sole discretion. WDT reserves the right to terminate your Service should you tamper with the Device, leaving you responsible for the full month's charges to the end of the current term, including without limitation unbilled charges all of which immediately become due and payable. You agree not to disrupt or hack the Service or to make or attempt to make any use of the Service that is inconsistent with its intended purpose.
Theft of Service or Device
You agree to notify WDT immediately, in writing or by calling the WDT customer support line, if the Device is stolen or if you become aware at any time that your Service is being stolen or fraudulently used. When you call or write, you must provide your account number and a detailed description of the circumstances of the Device theft or fraudulent use of Service. Failure to do so in a timely manner may result in the termination of your Service and additional charges to you. You will be liable for all use of the Service using a Device stolen from you and any and all stolen Service or fraudulent use of the Service.
Number Portability
WDT signup allows you to select a temporary number from any available area code during signup. If you wish to keep your existing number from your home phone, enter your current number in the keep your number field during signup. Following sign up, we will verify the number is eligible to be ported to your WDT account (Some restrictions apply, not all numbers can be ported). Depending on your current provider, the process can take from 14 up to 35 days to complete. There is a one-time porting fee of $8.99, and a $0.50 per month surcharge. You can use your temporary number until your number is ported.
Number Transfer on Service Termination
WDT may, solely at its own discretion, release any telephone number that was ported in to WDT by you and used in connection with your Service to your new service provider, if such new service provider is able to accept such number, upon your termination of the Service, and provided (i) your account has been terminated; (ii) your WDT account is completely current including payment for all charges; and (iii) you request the transfer upon terminating your account. WDT will not transfer or release telephone numbers that it has assigned for use in conjunction with your Service.
Service Distinctions
You acknowledge and understand that the Service is not a telephone service. Important distinctions exist between telephone service and the Service provided by WDT. Some, but not all, of these distinctions are described in this Agreement. The Service is subject to different regulatory treatment than telephone service. This treatment may limit or otherwise affect your rights of redress before Federal and State telecommunications regulatory agencies or judicial forums.
No 900 Calls
The Service does not permit calls to 900 numbers or other pay-per-call services.
No Operator Service
The Service does not support calls to operator services.
No Collect Calls
The Service does not support collect calls.
Directory Assistance
Calls to 411 Directory Assistance are free. Calls to any other directory assistance service are billed per call. For example, Directory Assistance (1-XXX-555-1212) excluding toll-free Directory Assistance (1-8---555-1212) will incur a charge of $0.25 per minute.
Emergency Calling – 911 Dialing
With traditional Enhanced 911 (“E911”) emergency Service, when You dial “911”, your telephone number and registered address is simultaneously sent to the local emergency center assigned to your location, and emergency operators have immediate access to your telephone and address, thus permitting them to respond to your emergency call or to call You back if necessary. With WDT’s Service, if You are located in an area where the emergency center does not support E911 emergency Service (i.e., is not capable of simultaneously receiving your telephone number and address), You have basic 911 emergency Service. WDT partners with one of the nation’s leading 911 underlying service providers in order to assist You in case of an emergency. WDT depends upon its E911 and basic 911 underlying service provider to assist WDT in supporting your emergency calls. Most of WDT’s Service areas support E911 emergency calls. WDT will automatically upgrade its customers that have basic 911 emergency Service to E911 emergency Service once its underlying service provider upgrades its connections to the emergency call centers. If You have basic 911 emergency Service, the local emergency operator will not have immediate access to your call back number or to your exact location when receiving your emergency call. Accordingly, You must be prepared to give the basic 911 emergency operator this information. Until and unless You do so, the basic 911 emergency operator may not be able to call You back or dispatch assistance if the call is disconnected or if You are unable to verbally communicate that information. We will not give You notice of the upgrade, however You can verify your type of 911 emergency Service by logging into your account online. WDT’s Service is only available in areas where 911 emergency Services can be provided to You at your registered physical location that was approved by Us when You either signed up for Service or when You updated your registered physical location information with Us.
Acknowledgement
You understand and acknowledge that WDT’s 911 emergency Service has certain limitations and works differently when compared to traditional 911 emergency service. WDT’s 911 emergency Service limitations and the way WDT deploys its 911 emergency Service may make WDT unsuitable to some users. You should carefully evaluate WDT’s 911 emergency Service limitations when deciding to activate WDT’s Service. You agree and acknowledge that it is your responsibility to select a 911 emergency service provider best suited to meet your emergency calling needs, and to make the necessary arrangements for accessing emergency calling services, such as maintaining a traditional phone line or cellular (mobile) phone as a backup means for your emergency calls. By entering into this Agreement, You will be presumed to have assumed the risk of losing 911 emergency dialing capabilities and agree to provide your telephone number and other identifying information to 911 emergency authorities as WDT deems necessary (in its sole opinion and discretion) in case of an emergency. WDT assumes no liability for the failure of e911 to perform and assumes no liability if you move and do not update your e911 address information.
Limitations of Emergency Calling – 911 Dialing
WDT depends upon certain third parties to provide 911 emergency Service and is thus subject to their network implementation and deployment schedules. Consequently, E911 emergency Service may be limited or unavailable in certain geographic areas until these third parties have completed this implementation and deployment. When You sign-up for the Service, We will advise You of the kind of 911 emergency Service, E911 or basic 911, that will be available with your Service. In addition, You may view your account information on Our Website, which specifies the kind of 911 emergency Service You have. When there is a problem validating a customer’s information and/or address or customer is identified with an international location, your 911 emergency call will be sent to the national emergency call center. In addition, emergency personnel will not receive your telephone number or know your physical location when your 911 emergency call is routed to the national emergency call center. Routing to a national emergency call center could substantially delay the response of emergency service providers or could result in no emergency service being provided to You at all.
WDT’s 911 and E911 Emergency Service may also be Limited or Unavailable in the Following Circumstances:
If your Digital Subscriber Line (“DSL”), cable modem, or other broadband access connections are disconnected, suspended, or interrupted for any reason, including electric power failures;
If You relocate or move the WDT Adapter to a location other than the one that You registered with Us or if You otherwise disconnect or modify the WDT Adapter;
If You change your telephone number or if You add new telephone numbers to your account, and do not successfully register your location of use for each changed or newly added telephone number;
If there are delays or disruptions of Service in the network or Services of WDT’s E911 underlying service provider;
If there is network congestion and/or a reduction in network speed; or
If Service is interrupted or terminated for any reason, including the suspension or termination of your account with Us or with your broadband access supplier.
While WDT will make commercially reasonable efforts to minimize the disruptive effects of WDT’s Service interruptions, degradations, or outages, it makes no guarantees or assurances that these will not occur. Such commercially reasonable efforts are WDT’s sole obligation regarding such interruptions. Such outages or other Service disruptions may include loss of 911 emergency Service dialing capabilities for extended periods of time.
Furthermore, home alarm systems, fax machines and other devices that attach to your home computers, local telephone service, cable system or other devices may not work with the Service. You are solely responsible for testing the operation of your home alarm systems, fax machines or other devices that You attach to the Service.
Additional Charges/Method of Payment
WDT reserves the right to automatically charge your credit card for voice usage that exceeds $50 during the month of service. All calls are rounded upward to full minutes. Final minute cost is rounded up to the full penny. The duration of each call is to be calculated in one minute increments and rounded up to the nearest one minute increment for any fraction of minutes used. If the computed charge for a call includes a fraction of a cent, the fraction is rounded up to the nearest whole cent. If the computed charges for taxes and surcharges include a fraction of a cent, the fraction is rounded up to the nearest whole cent.
Billing Disputes
You must notify WDT within ten (10) days following the first day of the month when we post your electronic bill for viewing. If you dispute any WDT charges, please notify us by opening a billing dispute on the trouble ticket system or by calling our customer service line at 1-888-606-0938
Termination for Information Verification
WDT reserves the right to suspend any customer’s account for information verification when the information on the account or the pattern of account usage is incorrect or unusual. WDT will notify you via e-mail when this is the case. Customers who fail to contact customer service (1-888-606-0938) within 48 hours of e-mail notification are suspended and their accounts are deactivated.
Reactivation/Continuance of Service
If your suspended account’s voice Service is resumed because you cured the violation, you will not receive a credit or refund for the period during which the voice Service was suspended or limited. If your voice Service has been terminated and then reactivated, you will be charged a $9.95 reactivation fee. You will not have to pay a new Activation Fee as long as reactivation occurs within 7 days of termination. You are responsible for a full month’s fee if the Service or feature is reactivated after the beginning of a new billing cycle.
Taxes
Customer is responsible for, and shall pay any applicable federal, state, municipal, local or other governmental sales, use, excise, Universal Service Fees, value-added, personal property, public utility and other taxes, fees and charges now in force or enacted in the future, that arise from or as a result of Customer's subscription or use or payment for the Service or a Device. Such amounts are in addition to payment for the Service or Devices and will be billed to your credit card. If Customer is exempt from payment of such taxes, it will provide WDT with an original government-issued certificate attesting to tax-exempt status. Tax exemption will only apply from and after the date WDT receives such certificate.
Regulatory Recovery Fee
WDT reserves the right, to the extent permitted by law, to assess a regulatory surcharge on Customer’s charges to recover Regulatory Recovery Fee that Regulatory Authorities may assess on WDT or the Services.
911 Emergency Regulatory Charge
A 911 recovery charge of $1.75 applies to each Service line. This fee is used to recover costs associated with developing, implementing and maintaining a nationwide E911 emergency service in compliance with FCC regulations, WDT’s 911 emergency dialing and the underlying service provider’s national 911 emergency call center. State and/or local governments or third parties may assess fees on WDT to pay for emergency services. To the extent permitted by law, WDT may pass those fees on to You and, in such circumstances, You agree to pay same.
Voice Second Device Fee
There is an additional device fee of $9.99 per device per month (maximum of two devices per WDT account).
The Universal Service Fund (USF)
USF is a federal program aimed at ensuring the availability of affordable telecommunications services to schools, libraries and rural healthcare facilities; it also serves to subsidize local service in high-cost areas and low-income households. The USF is funded by telecommunications companies that provide service between states and/or international service. In June 2006, the FCC required VoIP providers to contribute to the USF. For more information on the USF, please visit www.fcc.gov.
The Federal Universal Service Fee that appears on customer bills is a monthly charge that recovers the contributions that WDT, as a VoIP provider, must make to the federal USF. This fee may be subject to periodic adjustment by WDT based on the FCC´s contribution factor.
Calls to International Mobile Telephones; International Special Services Calls
WDT’s advertised rates for international calls are generally the rates charged for calls to landline telephones. Some calls to international mobile telephones, or to international telephone numbers considered to be special services calls, are charged a different (usually higher) rate than calls to landline telephones. The rates you will be charged are set forth in the calling plan rate tables.
Disclosure of Account Information
You authorize WDT to disclose information related to your account to credit reporting agencies and legal authorities.
Unlawful Use Policy and forwarding of information to authorities and third parties
If we believe that you have used or obtained WDT service unlawfully, we may forward the relevant communication and other information, including your identity, to the appropriate authorities for action. You agree to our forwarding of any such communications and information to these authorities. We may share your name, telephone number, credit card information, and other personal information, any communications, and any other information that we may have about your account, including but not limited to, the service plan type, effective date, MAC address(es), IP address(es), email address(es), registered 911 address, and all account information to law enforcement officials or as required by law, regulation, rule, subpoena, search warrant, or court order, or to protect WDT rights, property or personnel.
Customer Changes
You must tell us at once if you change your contact information such as e-mail address or contact phone number.
Telephone Monitoring
As part of our continuing effort to maintain a high quality of service to our customers, telephone communications with you may be monitored and recorded. You agree that monitoring and/or recording may be done and that no additional notice to you or additional approval from you is required.

Electronic Communications and Billing
When you visit WDT or send e-mails to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by e-mail or by posting notices on the www.myWDT.com site. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. You further agree to receive all bills electronically.

Visitors may email comments, questions and inquiries and other content; other communications; and submit suggestions, ideas, or other information, so long as the content is not illegal, obscene, threatening, defamatory, invasive of privacy, infringing of intellectual property rights, or otherwise injurious to third parties or objectionable and does not consist of or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings, or any form of "spam." You represent and warrant that you own or otherwise control all of the rights to the content that you send; that the content is accurate; that use of the content you supply does not violate this policy and will not cause injury to any person or entity; and that you will indemnify WDT or its affiliates for all claims resulting from content you supply. WDT has the right but not the obligation to monitor and edit or remove any activity or content. WDT takes no responsibility and assumes no liability for any content posted by you or any third party.
